These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Southside Strategic, LLC ("Company", "we", "us", or "our"), concerning your access to and use of the www.southsidestrategic.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

The Site provides an online marketplace for the following goods, products, and/or services: federally licensed firearms, firearm accessories, NFA/Title II items (including suppressors, short-barreled rifles, and other items regulated under the National Firearms Act), soft goods, patches, apparel, and related digital content and services (the "Marketplace Offerings"). All sales are subject to applicable federal and state laws and regulations, including those enforced by the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF).

By accessing the Site and/or the Marketplace Offerings, you have read, understood, and agree to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date, and you waive any right to receive specific notice of each such change. Your continued use of the Site after any revision constitutes your acceptance of those changes.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. Persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws.

Age and Eligibility Requirements

The Site requires age verification upon entry. By clicking through the age verification prompt, you represent and warrant that you are at least 21 years of age. Persons under 21 are not permitted to access or use the Site or the Marketplace Offerings. We reserve the right to cancel any order where age eligibility cannot be confirmed.

By placing an order, you represent and warrant that you meet the applicable age requirements of this website.

Federal Firearms License (FFL) and ATF Compliance

Southside Strategic, LLC is a federally licensed firearms dealer (Type 01 FFL) and [PENDING - JULY 2026] Special Occupational Taxpayer (SOT), licensed to engage in the business of selling and transferring firearms and NFA/Title II items in accordance with federal law. All transactions are conducted in compliance with the Gun Control Act of 1968 (GCA), the National Firearms Act (NFA), and all applicable ATF regulations.

By purchasing firearms or firearm accessories through this Site, you acknowledge and agree to the following:

  1. All firearm transfers to non-licensees (non-FFL individuals) must be completed through a licensed FFL dealer in the buyer's state of residence. Southside Strategic will facilitate the transfer through the buyer's chosen local FFL. It is the buyer's sole responsibility to identify and coordinate with a receiving FFL dealer in their state.
  2. All firearm purchases require completion of ATF Form 4473 (Firearms Transaction Record) and a NICS (National Instant Criminal Background Check System) background check prior to transfer. No firearm will be released to any buyer who fails a NICS check or is otherwise a prohibited person under 18 U.S.C. § 922(g).
  3. NFA/Title II items (suppressors, short-barreled rifles, short-barreled shotguns, machine guns, any other weapons, and destructive devices) are subject to ATF Form 4 transfer requirements and a waiting period determined solely by the ATF. Southside Strategic has no control over ATF processing times and makes no representations regarding wait times.
  4. Dealer-to-dealer transfers of NFA items use ATF Form 3 and are tax-exempt. Buyers who are SOTs or FFLs should contact us directly to initiate Form 3 transfers.
  5. All purchases are subject to verification of eligibility under federal and applicable state law. We reserve the right to cancel any order if we determine, in our sole discretion, that the transfer cannot be legally completed.
  6. You represent and warrant that you are not a prohibited person under 18 U.S.C. § 922(g), including but not limited to: persons convicted of crimes punishable by imprisonment for more than one year; persons under indictment for such crimes; fugitives from justice; unlawful users of controlled substances; adjudicated mental defectives or those committed to a mental institution; illegal aliens; persons dishonorably discharged from the military; persons who have renounced U.S. citizenship; persons subject to certain restraining orders; and persons convicted of misdemeanor crimes of domestic violence.

NICS Background Check: Delay and Denial Policy

All firearm transfers are subject to a NICS background check. The NICS system may return one of three results: Proceed, Delay, or Deny. The following policy applies in each scenario:

Proceed: The transfer may be completed immediately upon receipt of a Proceed response. No further action is required by the buyer.

Delay: A Delay response means that the FBI requires additional time to complete the background check. Federal law permits us to proceed with a transfer after three (3) business days if no Deny response has been received; however, Southside Strategic reserves the right, in its sole discretion, to wait for a final Proceed response before releasing any firearm. NICS delays may last up to 90 days. Your payment will not be refunded during a Delay period. If a final determination has not been made within 90 days, we will contact you to discuss options.

Deny: If the NICS system returns a Deny response, the firearm transfer will not be completed and the transaction will be cancelled. You will be notified of the denial. You may have the right to appeal the denial through the FBI's NICS Section. Southside Strategic will refund the purchase price of the firearm, less any applicable transfer fees already paid to a receiving FFL and any shipping costs already incurred. The ATF Form 4473 will be retained in accordance with federal recordkeeping requirements.

Southside Strategic shall not be liable for any damages, costs, or losses resulting from a NICS delay or denial, including but not limited to any third-party FFL transfer fees, shipping costs, or consequential damages.

NFA Transfer Fees and Third-Party Costs

The following fee disclosures apply to all NFA/Title II item purchases:

ATF Tax Stamp: Effective upon the elimination of the NFA transfer tax by federal legislation, the ATF transfer tax for NFA items is currently $0. If the NFA transfer tax is reinstated by federal law at any time, it will become the sole responsibility of the buyer and is non-refundable regardless of the outcome of the ATF Form 4 application.

Receiving FFL Transfer Fees: If your NFA item is transferred through a receiving FFL dealer in your state, that dealer may charge a transfer fee. Receiving FFL transfer fees are set independently by the receiving dealer and are entirely outside the control of Southside Strategic. We are not responsible for any receiving FFL transfer fees, and such fees are non-refundable once paid to the receiving dealer.

Form 4 Denial: In the event of an ATF Form 4 denial, Southside Strategic will work with you on a resolution on a case-by-case basis. Any transfer fees paid to third-party FFL dealers are non-refundable by Southside Strategic.

Wait Times: NFA transfer wait times are determined solely by the ATF and are outside our control. Southside Strategic makes no representations or guarantees regarding ATF processing times. Orders may not be cancelled solely due to ATF processing delays.

Layaway and Deposit Terms

For NFA/Title II items and select firearms, Southside Strategic may offer a layaway or deposit arrangement at our sole discretion. The following terms apply to all layaway and deposit transactions:

Deposit Amount: A non-refundable deposit of 25% of the purchase price is required to reserve any NFA item or firearm under a layaway arrangement, unless otherwise agreed to in writing at the time of sale.

Payment Schedule: The remaining balance must be paid in full prior to submission of an ATF Form 4 or Form 3, or prior to shipment of any non-NFA firearm. We will contact you to arrange final payment.

Order Cancellation: If you cancel a layaway order for any reason prior to full payment and ATF Form 4 submission, the deposit is forfeited and the item will be returned to available inventory. Southside Strategic is not liable for any price changes between the time of deposit and cancellation.

Non-Payment: If the remaining balance is not paid within 90 days of the agreed payment date, the deposit is forfeited, the order is cancelled, and the item is returned to available inventory without further notice.

Item Unavailability: In the rare event that a layaway item becomes unavailable prior to ATF Form 4 submission due to loss, theft, damage, or manufacturer discontinuation, Southside Strategic will refund all payments received in full, including any deposit paid, within 7-10 business days. Southside Strategic will make reasonable efforts to source an equivalent replacement item at the buyer's request.

ATF Form 4 Denial: If an ATF Form 4 application is denied after full payment has been received, Southside Strategic will refund the purchase price of the NFA item, less the non-refundable deposit and any third-party costs already incurred (including but not limited to receiving FFL transfer fees and shipping costs). We will retain the item and work with you in good faith to explore alternatives.

Form 3 Transfers (SOT/FFL Buyers): Deposits for Form 3 transfers follow the same terms above unless otherwise agreed to in writing.

Geographic and State Restrictions

Certain products available on this Site are prohibited or restricted in specific states, localities, or jurisdictions. By placing an order, you represent and warrant that the product you are purchasing is legal to own, possess, and transfer in your state and locality of residence.

Southside Strategic reserves the right to refuse, cancel, or decline to complete any order for any item that cannot be legally transferred in the buyer's jurisdiction. Examples of state-level restrictions include, but are not limited to:

  • Suppressors are prohibited for civilian ownership in California, Delaware, Hawaii, Illinois, Massachusetts, New York, New Jersey, Rhode Island, and certain other jurisdictions.
  • Short-barreled rifles (SBRs) and other NFA items may be restricted or prohibited in certain states.
  • Certain firearms features, magazine capacities, and accessories are restricted or banned in various states.

It is the buyer's sole responsibility to research and comply with all applicable federal, state, and local laws before purchasing. Southside Strategic is not responsible for purchases made in violation of applicable law and will not issue refunds for orders cancelled due to legal ineligibility in the buyer's jurisdiction.

Shipping Terms and Firearms Transfer Policy

Due to federal law, the shipment and transfer of firearms and NFA items are subject to specific requirements. By placing an order, you acknowledge and agree to the following:

Handguns and NFA Items: Handguns and NFA/Title II items may only be shipped to a licensed FFL dealer in the buyer's state of residence. Southside Strategic will not ship any handgun or NFA item directly to a non-licensee. It is the buyer's responsibility to provide a valid receiving FFL prior to shipment.

Long Guns (Rifles and Shotguns): Long guns may be shipped to a licensed FFL dealer in the buyer's state of residence. In states where direct shipment to a purchaser is permitted by law, we reserve the right to require FFL-to-FFL transfer at our sole discretion.

Carriers: Southside Strategic ships firearms exclusively via carriers that have executed a firearms shipping agreement with us. USPS may not be used for handgun shipments under federal law. Carrier selection is at our sole discretion.

Adult Signature Required: All firearm shipments require an adult signature (21+ for handguns and NFA items, 18+ for long guns) upon delivery. No firearm shipment will be left unattended. If delivery is unsuccessful after the carrier's standard attempts, the package will be returned to Southside Strategic and the buyer will be responsible for any re-shipment fees.

Risk of Loss: Risk of loss or damage during shipment passes to the buyer upon delivery of the firearm to the receiving FFL. Southside Strategic is not responsible for loss or damage occurring after delivery to the receiving FFL.

Shipping Costs: Shipping costs are the buyer's responsibility and will be calculated at checkout or quoted separately for large orders. Southside Strategic reserves the right to adjust shipping costs for remote locations or oversize items.

Export Controls and ITAR Compliance

Southside Strategic, LLC is subject to the International Traffic in Arms Regulations (ITAR), 22 C.F.R. Parts 120-130, and the Export Administration Regulations (EAR). All products sold or transferred through this Site are subject to U.S. export control laws and regulations.

By using this Site, you represent and warrant that:

  1. You are not located in, and are not a national or resident of, any country subject to a U.S. government embargo or designated as a state sponsor of terrorism, including but not limited to Cuba, Iran, North Korea, Russia, Syria, and Venezuela.
  2. You are not listed on any U.S. government list of prohibited or restricted parties, including the Specially Designated Nationals (SDN) list maintained by the U.S. Department of the Treasury or the Denied Persons List maintained by the U.S. Department of Commerce.
  3. You will not export, re-export, or transfer any product purchased through this Site to any prohibited country, person, or entity without prior written authorization from the applicable U.S. government agency.
  4. Any export or transfer of firearms, NFA items, firearm components, or related technical data will be conducted in full compliance with all applicable U.S. export control laws and regulations.

Violations of U.S. export control laws are subject to severe civil and criminal penalties. Southside Strategic will cooperate fully with any U.S. government investigation of potential export control violations.

No Legal Advice

Nothing contained in these Terms of Use, on the Site, or in any communication from Southside Strategic, LLC constitutes legal advice. These Terms of Use describe certain federal and state laws for informational purposes only and do not constitute a legal opinion or legal counsel regarding your specific situation, eligibility, or jurisdiction.

Federal and state firearms laws are complex, vary significantly by jurisdiction, and are subject to change. Southside Strategic makes no representation that the legal information contained herein is current, complete, or applicable to your specific circumstances.

You are strongly encouraged to consult with a licensed attorney who is knowledgeable in federal and state firearms law before completing any firearms or NFA transaction, particularly if you have any questions regarding your legal eligibility to purchase, possess, or transfer a firearm or NFA item in your jurisdiction.

Southside Strategic shall not be liable for any action taken or not taken in reliance on any information contained on this Site.

Intellectual Property Rights

Unless otherwise indicated, the Site and the Marketplace Offerings are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights of the United States and international conventions.

The Content and Marks are provided on the Site "AS IS" for your information and personal use only. No part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you.

User Representations

By using the Site or the Marketplace Offerings, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside, and you meet all applicable age requirements for the specific products you are purchasing; (5) you will not access the Site through automated or non-human means; (6) you will not use the Site for any illegal or unauthorized purpose; (7) your use of the Site will not violate any applicable law or regulation; (8) you are not a prohibited person under 18 U.S.C. § 922(g); and (9) any firearm or NFA item purchased will be legal to own and possess in your jurisdiction.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site.

Among unauthorized Marketplace Offerings are the following: intoxicants of any sort; illegal drugs or other illegal products; alcoholic beverages; games of chance; pornography or graphic adult content; and any product the sale or transfer of which is prohibited under applicable federal or state law.

User Registration

You may be required to register with the Site in order to access the Marketplace Offerings. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

Marketplace Offerings

We make every effort to display as accurately as possible the colors, features, specifications, and details of the Marketplace Offerings available on the Site. However, we do not guarantee that such information will be accurate, complete, reliable, current, or free of errors. All Marketplace Offerings are subject to availability, and we cannot guarantee that items will be in stock.

We reserve the right to limit quantities, change or update descriptions and pricing, and discontinue any Marketplace Offerings at any time without notice. We do not warrant that the quality of any Marketplace Offering will meet your expectations.

We are a licensed firearms dealer and service provider. We make no representations as to the safety, effectiveness, adequacy, or legality of any Marketplace Offerings in any specific jurisdiction. It is your sole responsibility to verify the legality of any purchase in your jurisdiction before ordering.

Purchases and Payment

We accept the following forms of payment: Visa, Mastercard, Discover, American Express, Apple Pay, Google Pay, Sezzle, and Bread Pay. We do not accept PayPal or any payment method that prohibits firearms-related transactions. Note that buy-now-pay-later services (Sezzle and Bread Pay) are subject to their own terms and eligibility requirements. Accepted payment processors are subject to change without notice.

You agree to provide current, complete, and accurate purchase and account information for all purchases. Sales tax will be added to the price of purchases as required by applicable law. All payments shall be in U.S. dollars.

You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorize us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Site. We may limit or cancel quantities purchased per person, per household, or per order. We reserve the right to limit or prohibit orders that appear to be placed by dealers, resellers, or distributors without a valid FFL on file.

Returns and Refunds Policy

All returns, refunds, exchanges, and cancellations are governed exclusively by the Southside Strategic Returns Policy, which is incorporated herein by reference and available at www.southsidestrategic.com/returns (the "Returns Policy"). In the event of any conflict between these Terms of Use and the Returns Policy, the Returns Policy shall control with respect to all return and refund matters.

Key terms of the Returns Policy include the following, which are provided for reference only and are subject to the full terms set forth in the Returns Policy:

  • Eligible non-firearm items may be returned within 15 days of delivery, subject to applicable restocking fees and condition requirements.
  • Southside Strategic does not offer exchanges. Customers must return eligible items and place a new order.
  • Firearms that have been transferred via ATF Form 4473 are not eligible for return. This is a requirement of federal law.
  • NFA/Title II items are not eligible for return after ATF Form 4 or Form 3 transfer approval. All such sales are final.
  • A Return Merchandise Authorization (RMA) number is required for all returns. Returns received without an RMA number will be rejected.
  • Refunds are issued to the original payment method within 7-10 business days of Southside Strategic receiving the returned item.

The above summary does not constitute the complete Returns Policy. Customers are encouraged to review the full Returns Policy prior to making any purchase.

Firearms Safety Disclaimer

All firearms and firearm-related products sold through this Site are intended for lawful purposes only, including hunting, sport shooting, collecting, and lawful self-defense. Southside Strategic, LLC expressly disclaims any responsibility for the misuse of any firearm or firearm accessory purchased through this Site.

By purchasing any firearm or related product, you agree to:

  1. Store all firearms safely and securely, in compliance with all applicable safe storage laws, and out of reach of children and unauthorized persons.
  2. Handle all firearms in accordance with established safety rules, including treating every firearm as if it is loaded, never pointing a firearm at anything you are not willing to destroy, keeping your finger off the trigger until ready to shoot, and being aware of your target and what is beyond it.
  3. Comply with all applicable federal, state, and local laws regarding the possession, use, transport, and storage of firearms.
  4. Seek professional training before using any firearm with which you are unfamiliar.

Southside Strategic, LLC shall not be liable for any injury, death, property damage, or other harm resulting from the misuse, improper storage, or illegal use of any product purchased through this Site.

Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

  1. Systematically retrieve data or other content from the Site to create or compile a collection, compilation, database, or directory without written permission from us.
  2. Make any unauthorized use of the Marketplace Offerings, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email.
  3. Use the Site to advertise or offer to sell goods and services without our express written consent.
  4. Circumvent, disable, or otherwise interfere with security-related features of the Site.
  5. Trick, defraud, or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords.
  6. Make improper use of our support services or submit false reports of abuse or misconduct.
  7. Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
  8. Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
  9. Attempt to impersonate another user or person or use the username of another user.
  10. Use any information obtained from the Site in order to harass, abuse, or harm another person.
  11. Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
  12. Attempt to purchase or arrange for the transfer of any firearm or NFA item on behalf of a person who is a prohibited person, a straw purchaser, or any person who could not legally purchase the item themselves. Straw purchases are a federal crime.
  13. Provide false information on any ATF form, including but not limited to ATF Form 4473. Providing false information on a federal firearms form is a federal felony.
  14. Attempt to purchase any item that is illegal in your state or locality, or misrepresent your state of residence or legal eligibility.
  15. Upload or transmit viruses, Trojan horses, or other malicious material.
  16. Disparage, tarnish, or otherwise harm us and/or the Site.
  17. Use the Site in a manner inconsistent with any applicable laws or regulations.

Dispute Resolution, Arbitration, and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Agreement to Arbitrate: Except as provided below, you and Southside Strategic, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Site, or the Marketplace Offerings (including but not limited to any dispute regarding the purchase, transfer, or use of any firearm or NFA item) shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in a court of law. The arbitration shall take place in Tarrant County, Texas, unless the parties agree otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You and Southside Strategic, LLC agree that each party may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement shall be null and void.

Exceptions: Notwithstanding the foregoing, either party may bring an individual action in small claims court. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to info@southsidestrategic.com within 30 days of first accepting these Terms of Use. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, all disputes shall be resolved exclusively in the state and federal courts located in Tarrant County, Texas.

Governing Law: These Terms of Use and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded. In no event shall any claim, action, or proceeding brought by either Party be commenced more than two (2) years after the cause of action arose.

User Generated Contributions

The Site may invite you to participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, and suggestions (collectively, "Contributions"). When you create or make available any Contributions, you represent and warrant that:

  1. The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights of any third party.
  2. You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us and other users of the Site to use your Contributions in any manner contemplated by the Site and these Terms of Use.
  3. Your Contributions are not false, inaccurate, or misleading.
  4. Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
  5. Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable as determined by us.
  6. Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
  7. Your Contributions do not advocate the violent overthrow of any government or incite, encourage, or threaten physical harm against another.
  8. Your Contributions do not violate any applicable law, regulation, or rule.
  9. Your Contributions do not contain any material that solicits personal information from anyone under the age of 18 or exploits minors in any manner.
  10. Your Contributions do not include any offensive comments connected to race, national origin, gender, sexual preference, or physical handicap.

By posting your Contributions to any part of the Site, you automatically grant to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt, and distribute such Contributions for any purpose, commercial or otherwise, and to prepare derivative works of, or incorporate into other works, such Contributions, and grant and authorize sublicenses of the foregoing.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We have the right, in our sole and absolute discretion, to edit, redact, or otherwise change any Contributions; re-categorize any Contributions; and pre-screen or delete any Contributions at any time and for any reason, without notice.

Guidelines for Reviews

We may provide you areas on the Site to leave reviews or ratings. When posting a review, you must: (1) have firsthand experience with the person/entity being reviewed; (2) not include offensive profanity, or abusive, racist, offensive, or hate language; (3) not include discriminatory references; (4) not include references to illegal activity; (5) not be affiliated with competitors if posting negative reviews; (6) not make conclusions as to the legality of conduct; (7) not post false or misleading statements; and (8) not organize campaigns encouraging others to post reviews. We may accept, reject, or remove reviews in our sole discretion.

Third-Party Websites and Content

The Site may contain links to other websites ("Third-Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Site Management

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, or disable any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property.

Privacy Policy

We care about data privacy and security. By using the Site or the Marketplace Offerings, you agree to be bound by our Privacy Policy posted on the Site, which is incorporated into these Terms of Use. The Site and the Marketplace Offerings are hosted in the United States. If you access the Site from the European Union, Asia, or any other region of the world with laws governing personal data collection, use, or disclosure that differ from applicable U.S. laws, then through your continued use of the Site, you are transferring your data to the United States and expressly consent to have your data transferred to and processed in the United States.

We do not knowingly accept, request, or solicit information from children or knowingly market to children. In accordance with the U.S. Children's Online Privacy Protection Act (COPPA), if we receive actual knowledge that anyone under the age of 13 has provided personal information to us without the requisite and verifiable parental consent, we will delete that information from the Site as quickly as is reasonably practical.

Please note: Completion of ATF forms (including Form 4473) requires collection of certain personal information as mandated by federal law. Such information is collected and retained in accordance with applicable ATF recordkeeping requirements and is not subject to deletion upon request.

Copyright Infringements

We respect the intellectual property rights of others. If you believe that any material available on or through the Site infringes upon any copyright you own or control, please immediately notify us using the contact information provided below. Please be advised that pursuant to federal law you may be held liable for damages if you make material misrepresentations in a notification. If you are not sure that material on the Site infringes your copyright, you should consider first contacting an attorney.

Term and Termination

These Terms of Use shall remain in full force and effect while you use the Site. Without limiting any other provision of these Terms of Use, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Site and the Marketplace Offerings (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms of Use or of any applicable law or regulation. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Marketplace Offerings without notice at any time. Indemnification

User Data

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Marketplace Offerings, as well as data relating to your use of the Marketplace Offerings. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Marketplace Offerings. You agree that we shall have no liability to you for any loss or corruption of any such data.

ATF-required records, including Form 4473 records and bound book (A&D) entries, are maintained in accordance with ATF recordkeeping regulations and are not subject to deletion upon request.

Electronic Communications, Transactions, and Signatures

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Site.

Note: ATF-mandated forms (including Form 4473) may require original wet-ink signatures in accordance with federal regulations. Electronic signatures on such forms will only be accepted if and to the extent explicitly authorized by the ATF.

Miscellaneous

These Terms of Use and any policies or operating rules posted by us on the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Marketplace Offerings.
